NEW Enterprises offers Internet related services, including the design and hosting of Web Sites, through it's system to it's subscribers. NEW Enterprises does not and cannot control the content, quality or accuracy of information available through it's system or over the Internet in general. These Terms of Service set forth the basic rules which apply to NEW Enterprises' services and use of it's system. NEW Enterprises reserves the right to change any or all of these Terms of Service at NEW Enterprises' sole discretion in the future without notice.

BY USING NEW ENTERPRISES' SERVICES AND SYSTEM THE SUBSCRIBER AGREES TO COMPLY WITH AND TO BE LEGALLY BOUND BY THE TERMS OF SERVICE.

If the Terms of Service, NEW Enterprises' services, system or pricing is or becomes unacceptable to a subscriber, the subscriber's only right shall be to terminate it's account in accordance with the Section labeled "Termination and Suspension" below.

Changes to Service:

The services provided by NEW Enterprises and NEW Enterprises' system are expected to change from time to time. NEW Enterprises reserves the right to change any services offered or the features of any and all services offered on it's system at any time without notice, including changes to access and use procedures, such as idle disconnection's, system hardware and software.

No Warranty; Limitation of Liability:

Subscriber hereby acknowledges and agrees that the use of the Service is at Subscriber's own risk. NEW Enterprises has not guaranteed any result or outcome to be obtained from the use of the Service. The Service is made available on an "as is", "where is", and "with all faults" basis without warranties of any kind, either express or implied, including but not limited to warranties of title, timeliness, merchantability or fitness for a particular purpose. Neither NEW Enterprises, nor anyone else involved in creating, producing or delivering the Service shall be liable for any direct, indirect, general, special, incidental, or consequential damages arising out of the use of the Service, or inability to use The Service. Subscriber also expressly agrees that NEW Enterprises does not warrant that the Service will be uninterrupted or error free. Downtime and lost transmissions may occur on the Service. In providing computer and Internet connection Services, NEW Enterprises, its employees and agents, do not warrant that the Services will be available on a specified date or time or that the Service will have the capacity to meet the demand of Subscriber during specific hours. Neither NEW Enterprises nor its Network Services Suppliers will be liable for any damage that Subscriber may suffer arising out of use, or inability to use, the services or products provided hereunder. Neither NEW Enterprises nor its Network Services Suppliers will be liable for unauthorized access to Subscriber's transmission facilities or premise equipment or for unauthorized access to or alteration, theft or destruction of Subscriber's data files, programs, procedures or information through accident, fraudulent means or devices, or any other method, regardless of whether such damage occurs as a result of NEW Enterprises or its Network Service Suppliers' negligence.

IN NO EVENT WILL NEW ENTERPRISES OR ITS NETWORK SERVICES SUPPLIERS BE LIABLE FOR ANY OTHER DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF REVENUE OR PROFITS, OR FOR ANY OTHER SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES, ARISING OUT OF OR IN CONNECTION WITH THE USE OF NEW ENTERPRISES OR ITS OTHER SUPPLIERS SERVICES TO ACCESS THE NETWORK.

Indemnity:

The subscriber agrees to indemnify and hold harmless NEW Enterprises, it's directors, officers, shareholders, agents, employees and it's other subscribers from any and all claims, liabilities, damages, or expenses, including attorney fees arising out of or resulting from any and all use of it's subscriber's accounts or the subscriber's Web Site whether or not authorized. Subscriber further agrees that NEW Enterprises, its employees and agents (hereinafter referred to as "Indemnified Party") will not be liable for any lost property or data of Subscriber, any claim or demand against the Subscriber by any other party, or any claim or demand against any of the parties listed above, due to or arising out of the use by Subscriber of NEW Enterprises services. Subscriber shall indemnify and hold Indemnified Party harmless from and against any such loss, claim or demand.

NEW Enterprises reserves the right to review any material stores files or programs to which other users have access at NEW Enterprises' sole discretion and will edit or remove any material or content that in it's sole discretion, believes may be unlawful, obscene, abusive or otherwise objectionable.

Termination and Suspension:

NEW Enterprises has the right to terminate any subscriber's subscription to it's services at any time without further notice if Subscriber misuses or abuses the Service. What constitutes misuse or abuse of the Service is solely determined by NEW Enterprises. A subscriber may terminate NEW Enterprises' services and its system by sending written notice of termination to NEW Enterprises by certified mail, return receipt requested. Upon receipt of said notice, NEW Enterprises shall terminate the subscriber's account as soon as practicable.

APPLICABLE LAW: The Agreement shall be governed by and construed in accordance with the laws of the State of Arizona, and each party hereto submits to the exclusive jurisdiction of the Courts of that State.
